Terms of Service.

Verdex (“Verdex,” “we,” “us”) provides title examination software at verd3x.com (the “Service”). By creating an account or using the Service you agree to these Terms, our Privacy Policy, and our Refund & Cancellation Policy. If you use the Service on behalf of a title agency or other organization, you represent that you have authority to bind it, and “you” means that organization.

The Service reads recorded land-record documents, drafts abstracts and commitment-style output, and flags items that need human review. It is a professional tool, not a professional. All output is a draft for review by you or a qualified examiner before any use in a real transaction.

Verdex is not a law firm and does not give legal advice. The Service does not issue title insurance, does not render opinions of title, and does not replace the professional judgment you owe your clients. You are responsible for the final work product you deliver.

You sign in with a Microsoft account. Keep your credentials secure - activity under your account is your responsibility. The Service is for business use by adults; keep your account information accurate so we can reach you about billing and service matters.

New accounts can process a limited number of documents free (currently two, with page limits) before a subscription is required. Trial limits are enforced per customer, and we may adjust the trial’s size or availability for new sign-ups at any time.

The subscription is $300 per month and includes $600 of title services each month, with each order counted at its face value by size - the current rates are listed on the subscribe page. Usage past the included amount bills at those same rates, monthly in arrears. Payments are processed by Stripe. Prices may change with at least 30 days’ notice, effective at your next billing cycle. You are responsible for applicable taxes.

Cancel any time from the billing portal in the app or by emailing us. Cancellation takes effect at the end of the current billing period; the Refund & Cancellation Policy explains the specifics.

Your documents and your results belong to you. You grant us only the license needed to process them to provide the Service. Your content is encrypted in transit and at rest, and is never used to train any AI model - ours or a third party’s. Our Privacy Policy describes exactly what we collect and where it lives. Only upload documents you have the right to process.

Use the Service lawfully. Don’t attempt to break, probe, or overload it; don’t reverse engineer it; don’t resell or provide it to third parties as a service without our written consent; and don’t use it to build a competing product.

The Service, its software, and its design are ours (or our licensors’). If you send us feedback, we may use it without obligation to you.

The Service is provided “as is.” We work hard on accuracy - every value is traceable to its source, and uncertainty is flagged rather than guessed - but we do not warrant that output will be error-free or that the Service will be uninterrupted. Automated output can contain errors; review is required.

To the fullest extent the law allows, neither party is liable for indirect, incidental, special, or consequential damages, and our total liability arising out of the Service is capped at the fees you paid us in the twelve months before the claim. Nothing in these Terms excludes liability that cannot be excluded by law.

We may suspend or terminate accounts for breach of these Terms or nonpayment, with notice where practical. You may close your account at any time; on request we will delete your stored documents and data as described in the Privacy Policy.

We may update these Terms as the Service evolves. For material changes we will give notice (email or in-app) before they take effect; continuing to use the Service afterward means you accept them.

These Terms are governed by the laws of the State of Maryland, without regard to conflict-of-laws rules. Questions, notices, and disputes start at hello@verd3x.com - most issues are resolved with an email.
